Reporting to Kabam's Chief Financial Officer, the Corporate Commercial Counsel is responsible for supporting and overseeing all legal aspects of Kabam's commercial transactions, corporate governance, and regulatory compliance. This is an exciting opportunity to provide proactive and practical counsel on a broad range of legal and business issues related to Kabam's interactive entertainment business.

In this role, you can expect to be responsible for:

    • Commercial Legal Matters
    • Provide comprehensive legal support for all business units.
    • Review, draft and negotiate a diverse range of commercial agreements, including technology and software-as-a-service (SaaS) agreements, vendor or professional service agreements, non-disclosure agreements, marketing or advertising-related agreements , licensing agreements, and strategic partnership agreements.

    • Corporate Maintenance, Governance and Risk Management
    • Develop, implement, and ensure compliance with corporate governance processes and frameworks.
    • Advise on legal risks related to the company's business activities, ensuring appropriate mitigation strategies are in place.
    • Setting and prioritizing risk tolerance based on the company's business objectives (short, medium, and long term).

    • Managing Regulatory Compliance and Internal Controls
    • Develop and manage organizational framework and process that ensures company follows relevant laws and regulations, and business rules and best practices.
    • Advise on key areas of compliance, including KSOX-readiness, financial reporting, privacy, data retention, and industry-specific regulations.
    • Approve wire transfer and cheque payments.

    • Legal Operations
    • Collaborate with cross-functional teams to optimize legal processes and enhance efficiency.
    • Manage Contract Lifecycle Management (CLM) platforms
    • Maintain training for internal business partners on key aspects of the company's CLM.

    • Cross-Functional Collaboration
    • Develop and execute the company's overall legal policy and strategic direction, supporting the company's long term goals.
    • Analyze issues, propose and communicate solutions to help business partners to mitigate risks.
    • Collaborate with business partners to address legal questions and develop practical, business-oriented solutions.
    • Lead cross-functional initiatives, facilitating communication and alignment between legal and business teams.

    • Intellectual Property and Management
    • Manage and protect the company's intellectual property portfolio, ensuring alignment with business objectives and long-term goals.
    • Provide legal guidance on IP-related matters, including licensing and strategy.

    • Corporate Transactions and M&A
    • Advise and manage mergers, acquisitions, and other corporate transactions, providing legal guidance throughout the transaction lifecycle.

    • General Employment and Litigation Matters
    • Advise on key employment matters as needed, supporting HR and business leaders.
    • Manage external counsel relating to litigation matters.

To be successful in this role, your background includes:

    • Juris Doctor (JD) or equivalent legal degree.
    • Membership in good standing with a provincial and/or state bar, BC or California preferred.
    • 5+ years of corporate and commercial experience as a generalist or in a senior legal role effectively supporting business in an in-house role.
    • Proven ability to manage complex legal matters and provide practical, business-focused legal advice to senior executives.
    • Experience in the technology, entertainment, or gaming industries is a plus.
    • Exceptional integrity and the ability to work on a wide range of legal matters with a wide variety of internal clients.
    • Highly collaborative, intellectually curious, to learn from and grow with the business.
    • Detail-oriented with excellent judgment, to provide business-oriented advice while mitigating risks.
    • Strong prioritization skills with the ability to manage multiple projects with complex and demanding deadlines, and comfortable working without administrative support.
    • Exceptional communications skills, both verbal and written, concisely and professionally with all levels of the organization.

$122,800 - $162,500 a year
The typical hiring range listed above is specific to candidates located in Vancouver. The salary will be determined based on your knowledge, skills and competencies, and you'll have room to grow after you join!
