JOB SUMMARY
Under the direction of the General Counsel and Corporate Secretary, the Legal Counsel acts as a leader and change agent and ensures the provision of legal services and advice to the Management and staff of Hydro Ottawa and its subsidiaries.
MAJOR RESPONSIBILITIES
Negotiate, coordinate, draft and review corporate and commercial agreements and other transactions
Research and provide advice and opinions on legal issues affecting the company and its subsidiaries to a variety of client groups including management, business development, engineering, information technology, generation, energy services, telecom, facilities, supply chain, marketing, and customer relations
Advise on corporate issues, including customer, shareholder and stakeholder relationships
Provide advice on and respond to access to information requests and privacy complaints
Liaise with, assist and support the oversight of services provided by external counsel
Act decisively to facilitate the translation of organizational and divisional strategies into concrete action plans
Work autonomously to manage and direct activities towards timely completion, adjust priorities or resources as required
Bring excellence to internal or external clients by focusing efforts on discovering and meeting needs
Conduct research using electronic and paper resources
Draft legal pleadings and represent the company and its subsidiaries in court proceedings and other procedural matters
Respond to customer complaints and initiate or negotiate remedial actions
Seek and build internal/external relationships, collaborations and services with or for clients to advance business relationships as well as knowledge, innovation and continuous improvement
Keep up to date on changes in law, regulations and industry practices and trends
Prepare presentations on legal topics / issues to internal stakeholders
Promote the role and responsibility of Legal Counsel building networks to share ideas, discussing new trends and best practices
Undertake special projects as required
EDUCATION AND EXPERIENCE
A Bachelor of Law (LL.B.) or Juris Doctor (J.D.) degree
A minimum of 3 years of professional legal experience with an emphasis on commercial law matters
Experience in dealing with competitive solicitation processes for the procurement of goods and services
Experience with drafting and negotiating buy-side and sell-side contracts
Experience in the acquisition of business assets, including the conduct of due diligence reviews of documentation
Knowledge of privacy and access to information laws and any privacy-related qualifications (e.g. International Association of Privacy • Professionals designation) is considered an asset
Litigation experience considered an asset
Experience in utility service areas considered an asset
Strong computer skills; proficient in the use of office productivity and collaboration tools, preferably G Suite
English essential, both oral and written; Bilingual (English/French) considered an asset
This is a management group opportunity and salary will be commensurate with qualifications.
