What is the opportunity?

As Senior Counsel in the CB Regional Banking Team, you have the exciting opportunity to provide legal advice and services to various groups in Retail Banking and Commercial Banking in Canada, including the Business Lending Origination Group (BLOG- tasked with drafting commercial lending documentation), Risk Management, the Commercial Advisory Group, Home Equity Finance and Commercial Mortgages, Private Banking, Corporate Client Group, Commercial Financial Services, Leasing & Equipment Financing and to a wide array of relationship managers and branches in the CB Regional Banking team. You will also assess a variety of legal risk issues and deal with complaints pertaining to lending escalated to branches or to Client Care.

What will you do?

  • Support the goals of the Vice President and Associate General Counsel, Banking & Enterprise Services and the Assistant General Counsel, CB Regional Banking in achieving the business/operations, strategic priorities and operational performance goals of the RBC Law Group
  • Identify, assess and manage legal and reputational risks relating to credit structuring and documentation of commercial and personal lending products in Canada (excluding Quebec)
  • Review and draft complex credit agreements, security agreements, leasing agreements, guarantees, inter-creditor agreements, priority agreements, payout arrangements as well as customized consents by RBC to the client in relation to these agreements
  • Review issues arising in connection with Commercial Mortgages for the Real Estate Team (outside Quebec) and with Residential Mortgages (outside Quebec) for Home Equity Financing, including liaising with external counsel at the request of business partners
  • Create, streamline and update Canadian Banking templates and tools used by Law Group in Canada to reflect changes in policy, procedure, and legislative and jurisprudential developments
  • Provide solution-oriented and sound, creative, cost-effective legal advice to business partners on a variety of matters including relevant underlying Canadian Banking Business Financing Services product documents and agreements, and liaising with external counsel where required.

What do you need to succeed?

Must-have

  • 5+ years of experience in lending law, including in-depth knowledge of financial services industry specifically; financing and secured lending, including commercial banking
  • Demonstrated ability to triage and assess situations and determine the appropriate escalation actions
  • Law degree from a recognized university, called to and membership in good standing with the Law Society of a common law Province
  • Experience providing support and coordinating legal files with the ability to manage contentious issues
  • Ability to work independently and collaboratively, including exercise good practical judgment

Nice-to-have:

  • 1 year or more of in-house counsel experience
  • Experience with personal and/or commercial mortgages
  • Experience with leasing and equipment financing
