We are looking for a senior legal counsel (or legal consel) - Corporate, securities, financing and M&A who will report to the director, legal services - Corporate, securities, financing and M&A and who’ll be tasked with matters of corporate and securities law; support to most corporate functions of the organization such as finance, business developments (M&A), tax and total compensation; and assistance to board matters.

YOU’LL HAVE THE OPPORTUNITY TO:

  • Contribute to innovative projects relating to BRP’s corporate functions, including finance, M&A and securities transactions (SIB, secondary offerings, NCIB).
  • Contribute to the preparation of all continuous disclosure documents, including annual information form, management proxy circular, and MD&As.
  • Support the preparation of the annual meeting of shareholders.
  • Advise on investor relations matters, including review of and collaboration on earnings announcements, earnings scripts, press releases, investor presentations and other communications.
  • Support the director, legal services and the chief legal officer of BRP with the preparation of notices, agendas and materials for board of directors and committee meetings.
  • Advise on corporate governance trends, including on ISS, Glass Lewis and other proxy advisory service positions, and lead initiatives to implement best practices.
  • Contribute to efforts regarding Environmental Social and Governance (ESG) disclosure and upcoming laws and regulations.
  • Participate in the legal department's efforts to develop, manage and implement forms, processes and procedures, deliver effective trainings and provide substantive support to other members of the legal department, as needed.

YOU’LL THRIVE IN THIS ROLE IF YOU HAVE THE FOLLOWING SKILLS AND QUALITIES:

  • 4 to 6 years’ experience as a lawyer in-house for a publicly listed company or in a private law firm – we remain however open to profiles that may be more junior or more senior than specified, in which case the title and responsibilities will be adjusted accordingly.
  • Experience in securities, corporate and financing law. M&A expertise is a plus.
  • The person shows curiousness, discipline, autonomy and initiative in his or her work. The person is also good at managing pressure and is excellent at prioritizing work.
  • Strong drafting skills, impactful verbal communication skills and ability to work across every level of an organization and to relate effectively with executives and operational teams.
  • Strategic team player with high integrity and ethical standards.
  • Experience leading projects with multi-disciplinary professionals.
